- Grindr completed its $250M acquisition of PurposeMed, parent of PrEP telehealth provider Freddie, on 2 November, 33 days after announcing it.
- The price is $190M in cash plus $60M in Grindr stock, with up to $70M more in cash tied to 2027 targets and payable in 2028.
- Freddie expects 2026 revenue of more than $80M and more than $10M in Adjusted EBITDA, according to Grindr's September release.
- Grindr's CEO says the company loses about $10M of telehealth direct-ad revenue it earned this year, because Freddie is now owned rather than an advertiser.
Grindr (GRND) completed its acquisition of PurposeMed, the parent of PrEP telehealth provider Freddie, on 2 November, according to a press release filed as Exhibit 99.1 to an 8-K. The deal closed 33 days after the 30 September announcement, inside the Q4 2026 window the company gave at signing, and the terms did not change.
The financial scale matters. In its September release, Grindr said Freddie expects 2026 revenue of more than $80 million and more than $10 million in Adjusted EBITDA. Set against Grindr's raised 2026 revenue outlook of $560 million, that is roughly one-seventh of the group's top line, although Grindr only owns the business from 2 November and said it expected an immaterial impact on its 2026 results.
The DII Take
On the numbers Grindr has disclosed, the logic is clear: it is paying roughly three times Freddie's expected 2026 revenue for a business it describes as profitable, rather than buying growth it hopes to monetise. The weak point is not price but trust. A dating company that now owns clinical records for HIV prevention has to show, in specifics, how that data stays away from its advertising business, and so far the closing announcement does not do that.
What Grindr paid and what it gets
Grindr's release says the price covers PurposeMed, the Freddie brand and its partnerships with affiliated clinical networks. The price is $190 million in cash plus $60 million in Grindr common stock. The agreement also allows up to $70 million more in cash, tied to 2027 performance targets and payable in 2028. The release does not disclose the targets, or where the cash came from.
StockTitan's summary of Grindr's shareholder letter says the stock portion was about 4 million shares, priced on the 15-day VWAP to 29 September 2026 and subject to a 12-month resale restriction. DII has not seen the letter itself.
CEO George Arison framed the deal as a build-versus-buy call. 'The acquisition gives us a profitable business, an experienced team, and clinical and pharmacy capabilities that would take us at least two years to build ourselves,' he said in the release. On the upfront price, $250 million is at most about 25 times Freddie's expected 2026 Adjusted EBITDA, a figure DII has calculated from the September guidance.
A $10M ad hole in a noisy quarter
Freddie was a Grindr advertiser before Grindr owned it. On the Q3 call, according to a Motley Fool transcript, Arison said Grindr loses about $10 million of telehealth direct-ad revenue it earned this year, because Freddie is no longer an advertiser. He also said three in four US Grindr users signing up for Freddie have never used PrEP.
The wider numbers, from Grindr's 5 November results release, are strong at the operating line and messy below it. Q3 revenue was $141 million and Adjusted EBITDA was $61.7 million, a 43.7% margin. Net loss was $6.6 million against net income of $30.8 million a year earlier, with litigation-related costs of $32.3 million and transaction-related costs of $3.5 million in the quarter. Grindr raised its 2026 outlook to $560 million revenue and $236 million Adjusted EBITDA, and set an initial 2027 outlook of at least $705 million and at least $275 million. DII covered the 8-K furnishing those results separately.
Health data is the diligence question
PPC Land reported that Grindr agreed on 2 September to pay £26 million to settle a UK High Court group action by about 12,000 users. The claimants alleged that Grindr passed users' HIV status to advertising partners in 2018 to 2020. Grindr does not admit liability, according to PPC Land, and the settlement is payable in two £13 million instalments. PPC Land also noted that the closing announcement does not say how Freddie patient data will be kept apart from Grindr's advertising business.
Grindr's September release said participation is voluntary on both sides: members choose whether to access care through Freddie, and Freddie patients choose whether to use Grindr. Gayety's coverage of the close led on the same point, that PrEP patients do not have to join the Grid. That is a useful commitment on account creation. It is not an answer on data flows.
The price is $190 million in cash plus $60 million in Grindr common stock.
What to watch
From the closing date, eligible Grindr members in the US and Canada can reach Freddie through the Health center in the app. Grindr says it plans a more integrated experience over time, but gave no timetable. It also plans to combine Freddie and Woodwork, its performance-medication offering, into a single Grindr Health experience, and has stated a commitment to connect 10 million LGBTQ+ people globally to HIV prevention through the app by 2028.
Three things will show whether the logic holds. The earn-out targets, which remain undisclosed, will indicate how much of the 2027 outlook leans on Freddie. The first full quarter of consolidated results will show what the lost ad revenue costs against Freddie's contribution. And any detail on data segregation will matter more to regulators and members than any revenue line. Grindr recently rolled out sensitive-data controls for its gAI features, which is a start, not a ring-fence.
- Grindr is paying about three times Freddie's expected 2026 revenue for a health business it calls profitable, with up to $70M of earn-out riding on 2027 targets.
- The reputational risk sits in data handling: Grindr's reported £26M UK settlement and the absence of a stated data-separation plan in the closing release are the points regulators and members will test.
- Watch the first consolidated quarter, the undisclosed earn-out targets and any timetable for integrating Freddie and Woodwork into Grindr Health.
