- George Raymond Zage III sold 500,000 Grindr shares on 16 and 19 October 2026, per a Form 4 filed on 20 October.
- DII's calculation from the filed prices puts the total at about $7.06M; the form states no dollar figure.
- The sales fall under a Rule 10b5-1 plan adopted 17 June covering up to 6,000,000 shares.
- His direct holding fell to 6,627,743 shares from 7,794,143 after his 16 September sale.
Grindr (GRND) director and 10% owner George Raymond Zage III sold 500,000 shares on 16 and 19 October, according to a Form 4 filed with the SEC on 20 October. By DII's calculation from the prices in the filing, the sales total about $7.06M. MarketBeat's write-up of the filing gives matching figures of $4,980,500 and $2,080,500 for the two days.
It is the third 500,000-share block Zage has sold under the same plan in recent weeks. Counting the September and early October Form 4s, that is about 1.5 million shares since mid-September, on DII's sum and assuming no other sales under the plan.
The DII Take
Plan sales are mechanical, so this filing says little about what Zage now thinks of Grindr's prospects. What it does show is a steady supply of stock coming to market, with the plan running to March 2027. Investors should read it as a flow to be absorbed, not a verdict on the business.
What the Form 4 shows
He sold 350,000 shares on 16 October at $14.228 per share. On 19 October he sold another 150,000 at a weighted-average $13.87, in transactions priced from $13.575 to $14.28. In September, the Form 4s show 333,600 shares sold at $15.62 and 166,400 at $15.41.
Grindr's 10-Q says Zage adopted the plan on 17 June, covering up to 6,000,000 shares, and that it expires on 15 March 2027. He also reports indirect holdings of 1,385,507 shares through Big Timber Holdings, LLC and 85,926,333 through Tiga Eighty-Eight Pte Ltd. The filing does not say how much of the Tiga Eighty-Eight stake he owns economically.
He sold 350,000 shares on 16 October at $14.228 per share.
The business behind the stock
Grindr reported Q2 2026 revenue of $138M, up 33% year on year, with net income of $18M and Adjusted EBITDA of $58M, a 42% margin. It raised full-year guidance to about $540M revenue and about $232M Adjusted EBITDA. In February its board approved a further $400M for share repurchases, on top of about $50M left under the original $500M authorisation. Grindr has not commented publicly on the sales.
What to watch
Expect further Form 4s while the plan runs. With up to 6,000,000 shares covered, the remaining capacity depends on whether any earlier sales fell under it, which DII has not verified.
- Zage's sales of 500,000 Grindr shares were made under a plan adopted 17 June, so they carry little signal about his view of the business.
- Cumulative plan sales of about 1.5 million shares since mid-September, by DII's sum, are the figure to track against any further Form 4 filings before the plan expires on 15 March 2027.
