- Grindr filed a Form 8-K on 5 November 2026 under Items 2.02 and 9.01, furnishing a press release (Exhibit 99.1) and shareholder letter (Exhibit 99.2) for the quarter ended 30 September 2026.
- The year-ago comparison is Q3 2025 revenue of $116M, according to Grindr's Q2 shareholder letter. Q2 2026 revenue was $138M, up 33%.
- Grindr guided in August to about $540M revenue and about $232M Adjusted EBITDA for 2026.
- Grindr said in September that it would give an initial 2027 outlook for the combined company, including Freddie, on its Q3 call.
Grindr (GRND) filed a Form 8-K on 5 November 2026 furnishing its third-quarter results. The 8-K, signed by Chief Financial Officer John North, attaches a press release as Exhibit 99.1 and a shareholder letter as Exhibit 99.2 covering the quarter ended 30 September 2026.
The 8-K cover document carries no financial figures of its own. The numbers sit in the exhibits, and this report does not cover Q3 revenue, profit or guidance. Instead it sets out what the quarter has to prove, using Grindr's own earlier disclosures and its rivals' results.
The DII Take
Grindr has spent 2026 growing fast while Bumble's revenue falls and Match Group points to early signs of recovery. That makes this print less about the quarter and more about 2027. The first outlook for a business that would include a telehealth provider will tell investors whether Grindr is still a dating story with a health add-on or becoming something harder to value.
What the filing is, and what it is not
Grindr announced on 22 October that it would release Q3 results after market close on Thursday 5 November. A webcast call was set for 2:00 p.m. Pacific (5:00 p.m. Eastern), also broadcast on CEO George Arison's X and LinkedIn channels.
The 8-K says the information is furnished under Item 2.02, not filed for purposes of Section 18 of the Exchange Act. That is standard wording for earnings releases.
The bar Grindr set for itself
The comparison starts with Q2. Grindr reported on 6 August revenue of $138M, up 33% year over year, with net income of $18M (a 13% margin) and Adjusted EBITDA of $58M (a 42% margin). It raised full-year 2026 guidance to approximately $540M revenue and approximately $232M Adjusted EBITDA.
The Q3 base is lower. Grindr's Q2 shareholder letter charts Q3 2025 revenue at $116M, made up of $96M app-based revenue and $19M advertising. Against that, the Q2 operating metrics are the ones to track: average paying users of 1.4M, up 16%, and ARPPU of $26.51, up 12%. Growth from both payers and price is a healthier mix than growth from price alone, and Q3 will show whether it held.
Freddie and Edge carry the 2027 story
In September Grindr agreed to buy PurposeMed Inc., the Canadian telehealth and PrEP provider known as Freddie, for $250M: $190M in cash and $60M in stock. Up to $70M more in cash is tied to 2027 targets. Closing was expected in Q4 2026. Grindr said in September that it would give an initial 2027 outlook for the combined company on its Q3 call in November.
Grindr said in September that it would give an initial 2027 outlook for the combined company on its Q3 call in November.
The same September shareholder letter described Edge, Grindr's AI-native premium tier, as 'launching next' and said it should drive strong revenue growth in 2027. Two things now ride on 2027: a health acquisition with earn-out conditions, and a premium tier that had not yet launched when the letter was written. Any outlook that leans on both deserves scrutiny of what is assumed for each. DII has already covered Grindr's sensitive-data controls for its gAI features, which bear on how comfortably AI and health data can sit alongside each other.
The peer comparison is stark
Bumble (BMBL) reported in its 10-Q Q3 2026 total revenue of $207.1M against $246.2M a year earlier. Bumble App revenue was $167.3M versus $198.8M, and Bumble App paying users fell 15.1% to 2.0M. DII covered that quarter here.
Match Group (MTCH) reported on 2 November. Its release said Tinder daily active users returned to year-over-year growth in September after more than three years, and that Hinge delivered double-digit user, revenue and payer growth. That is a better picture than recent quarters, but it is a recovery story. Grindr's is a growth story, and it will be valued on whether growth can be sustained once an acquisition enlarges the base.
What to watch
Read Exhibit 99.1 for the Q3 revenue line against the $116M base, then the full-year guidance against the $540M and $232M marks set in August. Then read Exhibit 99.2 for the first 2027 outlook, the Freddie closing status and the Edge launch timing. Grindr's short interest has already drawn attention, so the call carries a trading edge as well as a strategic one.
- Grindr's first 2027 outlook, covering Freddie, will matter more to GRND investors than the Q3 print itself, because it will show how much of the growth is organic.
- Operators should compare Grindr's payer and ARPPU trends with Bumble's 15.1% fall in Bumble App paying users to see how far the market has split.
- The figures in Exhibits 99.1 and 99.2 should be checked directly on the SEC filing before being relied on.
