• Bleichmar Fonti & Auld, Kahn Swick & Foti and Ademi LLP announced investigations on 13-14 October 2026.
  • The firms are examining the $6.05 cash price in Ithaca Holdings' $1.3B take-private of Bumble.
  • BFA says Blackstone and Whitney Wolfe Herd hold 83.7% of voting power and have consented in writing.
  • The releases allege no wrongdoing, and DII has found no filed lawsuit.

At least three shareholder-rights law firms have opened investigations into whether the $6.05-a-share cash price, and the process behind it, are fair to public holders of Bumble (BMBL). Bleichmar Fonti & Auld (BFA), Kahn Swick & Foti (KSF) and Ademi LLP each announced their probes on 13 or 14 October, as the $1.3B Ithaca Holdings deal became public. DII covered the terms here.

The DII Take

These releases are investor solicitations, and none alleges wrongdoing. Still, they point at the real issue: with written consent already given, public shareholders have no vote to cast. The likelier reading is that litigation threats are the only lever left to minority holders, and whether they bite depends on facts DII has not seen.

What the firms say they are examining

BFA says it is investigating possible breaches of fiduciary duty, including whether the terms, a rollover among them, comply with Delaware law. Its release says Blackstone and Wolfe Herd together control 83.7% of voting power, and that her shares can roll into the post-merger company, an option it says is not offered to other stockholders.

KSF said it is seeking 'to determine whether this consideration and the process that led to it are adequate, or whether the consideration undervalues the Company.' Ademi, based in Milwaukee, lists the deal price, change-of-control benefits for insiders, restrictions on competing offers including a significant termination penalty, and the board's conduct. The rollover, penalty and insider benefits come only from law-firm releases. Bumble's 8-K exhibit does not mention a rollover.

Bumble's account of the process

Bumble says an independent Special Committee, advised by independent legal and financial advisers, ran the process and recommended the deal. The board approved it unanimously with Wolfe Herd recused, according to the company. Bumble describes $6.05 as about a 138% premium to the 9 October close.

The business backdrop is weak. Bumble reported Q2 revenue down 15.2% to $210.5M and paying users down 16.4% to 3.2M. Match Group (MTCH) reported revenue down 1% to $853M.

What to watch

Bumble says it will file a Schedule 14C information statement and a Schedule 13E-3 transaction statement. It plans to file its 10-Q by 9 November and will skip a Q3 call. Markets Daily reported BMBL at $5.97 on 14 October, just under the offer.

  • Bumble's public shareholders face a deal where Blackstone and Wolfe Herd's consent, per BFA, leaves no further vote, so the SEC filings become the main source of detail.
  • Watch the Schedule 14C and 13E-3 for the rollover, termination fee and insider benefits that law-firm releases describe but Bumble's 8-K exhibit does not.
